Terms of Service

These Terms of Service ("Terms") govern your use of TapReceipt ("the Service"), operated by Fordify Limited, a company registered in England and Wales ("we", "us", "our"). By creating an account or otherwise using the Service, you ("the Merchant" or "you") agree to be bound by these Terms.
If you do not agree with these Terms, you must not use the Service. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.
1. About the Service
TapReceipt provides digital receipt delivery for point-of-sale ("POS") systems, allowing customers to receive their receipt by email after tapping an NFC sticker. We integrate with third-party POS providers including Square, Zettle, SumUp, Lightspeed, and others.
2. Eligibility & accounts
- You must be at least 18 years old and operating a legal business in the United Kingdom to use the Service.
- You agree to provide accurate, current, and complete business details when signing up and to keep these up to date.
- You are responsible for keeping your account password secure. Any activity carried out under your account is your responsibility.
- You must notify us immediately at fordifylimited@gmail.com if you suspect unauthorised access to your account.
3. Your obligations
By using TapReceipt you agree to:
- Use the Service only for lawful business purposes.
- Comply with all applicable laws including the UK GDPR, the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations 2003 (PECR).
- Only send marketing emails through the Service to customers who have actively opted in. Misuse of the marketing feature may result in immediate suspension.
- Not attempt to reverse-engineer, scrape, or circumvent the Service.
- Not use the Service to send spam, phishing, fraudulent, or otherwise harmful content to your customers.
4. Fees and billing
- Per-receipt fee: You will be charged a per-receipt fee for each receipt successfully delivered to a customer's email address. The current rate is shown in your merchant dashboard and on our website.
- Minimum monthly charge: A minimum charge of £10.00 per calendar month applies once your account is active. If your usage falls below this amount in a given month, you will still be billed £10.00.
- Invoicing: Invoices are issued monthly in arrears for the previous calendar month. Payment is due within 14 days of the invoice date.
- VAT: Fordify Limited is not currently registered for VAT, so no VAT is charged on our invoices. If we register for VAT in the future, we will provide at least 30 days' notice before VAT is added to invoices.
- Late payment: We may suspend your access to the Service if invoices remain unpaid for more than 30 days. Interest may be charged on overdue invoices at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Customer (end user) data
When customers use the Service to receive receipts, their email addresses and receipt records are processed by us on your behalf in accordance with our Privacy Policy and our Data Processing Agreement (DPA). We act as a data processor where you are the data controller of your customer relationships. By accepting these Terms, you also accept the DPA, which is automatically binding as part of your TapReceipt subscription. Both parties agree to comply with applicable data protection laws including UK GDPR.
6. Integrations with third-party POS providers
The Service relies on integrations with third-party POS providers (e.g. Square, Zettle, SumUp, Lightspeed). We are not responsible for downtime, changes, or limitations imposed by these providers. You are responsible for maintaining your own accounts and good standing with each POS provider you connect.
7. Service availability
We aim to make the Service available 24/7 but do not guarantee uninterrupted access. We may perform planned maintenance, deploy updates, or experience unplanned outages. We will use reasonable efforts to communicate significant disruptions.
8. Intellectual property
All intellectual property in the Service, including the TapReceipt brand, software, designs, and content, is owned by Fordify Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Service during the term of your account. You acquire no rights in our intellectual property.
9. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied.
- We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
- Our total aggregate liability to you arising out of or relating to these Terms is limited to the total fees paid by you to us in the 12 months preceding the event giving rise to liability.
- Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.
10. Suspension and termination
- By you: You may terminate your account at any time by giving us 30 days' written notice via email to fordifylimited@gmail.com. You remain responsible for fees accrued up to and including the termination date.
- By us: We may terminate or suspend your access to the Service by giving you 30 days' written notice. We may suspend or terminate immediately if you breach these Terms, fail to pay an invoice, or use the Service in a way that risks legal liability or reputational harm.
- Effect of termination: Upon termination, your access to the Service ends. We will retain your data only as long as needed for legal, accounting, or audit purposes (see Privacy Policy). You may request deletion at any time.
11. Changes to the Service or Terms
We may update the Service or these Terms from time to time. Material changes will be notified to you by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
